The Companies Act 1993 ("the Act") and the related legislation introduced at the same time significantly modified the governance documentation and statutory context within which companies operate. The Act’s default regime that applies, if not modified or negated by an adopted constitution, often delivers unexpected outcomes. Although simple incorporation is readily achievable there will be few cases where situation specific constitutional modifications are not required.
