SEJARAH MYARTIS www.myartis.com merupakan laman hiburan terbesar bermula sejak tahun 1997 dan ia adalah laman hiburan yang juga merangkap majalah online yang pertama di Malaysia. Awalnya satu NDA telah ditandatangani dengan TM Net di Cyber jaya pada tahun 2001 untuk melakukan usahasama tetapi terpaksa dibatalkan atas sebab-sebab berat sebelah.

Beberapa perjumpaan lanjut dengan Puan Zainab selepas itu di bangunan Celcom Jalan Semarak turut menemui jalan buntu apabila tiada persetujuan dicapai. Harapan myartis untuk mewarnai dunia IT terutamanya hiburan akhirnya tidak kesampaian.

Apa yang menarik, myartis telah memuatkan pelbagai bahan seperti video, beribu gambar artis sejak berhingus, berita terkini, peraduan, forum, alamat, no. telefon, biodata lengkap artis dan pelbagai lagi. Malah wartawan myartis merupakan wartawan pertama yang menggunakan kamera digital (Sony Mavica) yang hanya memakai discket.

Lebih menakjubkan, myartis wujud berdasarkan 'one man show' sahaja apabila pemiliknya melakukan kesemua kerja yang ada bagi menjimatkan belanja iaitu sebagai jurugambar, pemberita, webmaster, web designer, programmers, Content Developer dan news editor.

MUTUAL NON-DISCLOSURE AGREEMENT


This Agreement is made this ___##_____ day of ____##_____, 2001 Between :

TELEKOM MALAYSIA BERHAD (128740-P) a company incorporated under the laws of Malaysia, with its registered office at 2nd Floor, Ibu Pejabat Telekom Malaysia, Wisma Telekom, Jalan Pantai Baru, 50672 Kuala Lumpur, Malaysia (hereinafter referred to as “TELEKOM MALAYSIA”) of the one part;

And

      1. ###### a company incorporated under the laws of Malaysia, with its registered office/place of business at ##B, JALAN SG 3/16, TAMAN SERI GOMBAK, 68100, BATU CAVES, SELANGOR (hereinafter referred to as “MYARTIS.COM”) of the other part.


WHEREAS :

1. TELEKOM MALAYSIA and MYARTIS.COM intend to explore mutual business opportunities and joint activities in the area of the WEB portal content acquisition (hereinafter referred to as “the Project”) and in the course of discussions, will be disclosing certain commercially valuable, proprietary and confidential business, financial and technical information to each other.

2. Both parties agree to hold such proprietary and confidential information in the strictest confidence upon the terms and conditions hereinafter appearing.


NOW IT IS HEREBY agreed by the parties as follows:

1. “Confidential Information” is defined as any and all information of any kind, whether in written or electronic format, oral or otherwise and whether or not labelled as “Confidential”, including, without limitation, information relating to the business, financial condition, marketing strategies, know-how, suppliers, customers, operations, pricing, technical information, contract terms and conditions and all information of any kind relating to either party or their shareholders or their related or associated companies and disclosed, submitted or howsoever made available by or on behalf of one party to the other or to their employees, officers, advisors, consultants or agents (hereinafter collectively referred to as “Personnel”) for the purpose of or in connection with the Project, whether before or after the date of this Agreement.

2. Both parties agree and undertake to hold the Confidential Information in the strictest confidence and to not at any time disclosure or use or permit to be disclosed or used any of the Confidential Information for any purpose other than in connection with the Project.

3. Both parties shall use their best efforts to limit the dissemination, circulation or supply of the Confidential Information or any part thereof to their Personnel who are directly involved with the Project and only to the extent necessary for each of them to perform their duties.

4. Both parties undertake to :

(a) inform their Personnel who may have access to the Confidential Information that such information should be kept in the strictest confidence; and

(b) use best endeavours to ensure and procure that non of their Personnel will do any act, matter or thing which if done by any of the party hereto, would constitute a breach of the obligations of the party under the terms of this Agreement; and

(c) take all reasonable action to prevent unauthorised disclosure or use of the Confidential Information of the other party.

5. The foregoing obligations shall not apply, however, to any part of the Confidential Information which:-

(a) was already in the public domain or which becomes so through no fault of the party receiving the Confidential Information (hereinafter referred to as “Receiving Party”); and

(b) is explicitly approved for release by written authorisation of the party disclosing the Confidential Information (hereinafter referred to as “Disclosing Party”); and

(c) was known to the Receiving Party at the time of disclosure as shown by written records in existence at the time of disclosure; and

(d) was lawfully obtained by the Receiving Party without breach of this Agreement and otherwise not in violation of the Disclosing Party’s rights; and

(e) is required by law or by order of a court of competent jurisdiction or by any rule, direction or regulation of any regulatory or governmental authority to be disclosed.

6. Subject to the provisions in clause 5 and notwithstanding termination of this Agreement, the obligations of confidentiality contained herein shall continue in effect for a period of one (1) year from the date of disclosure.

7. Both parties further undertake to forthwith, upon request by the Disclosing Party, return all documents and other materials containing such Confidential Information together with all copies or reproductions thereof.

8. No license, whether express or implied, in the Confidential Information is granted by either party to the other to use the Confidential Information other than in the manner and to the extent authorised by this Agreement.

9. (a) Both parties acknowledge that they are aware and fully understand that in the event of any breach of this Agreement by the Receiving Party or their Personnel, then the Disclosing Party could suffer substantial loss and damage which money damages cannot adequately remedy.

(b) The Receiving Party acknowledges that the Disclosing Party shall be entitled to specific performance, injunctive and other equitable relief in enforcing the obligations in this Agreement in addition to all other remedies available in law.

10. This Agreement is governed by and interpreted in accordance with the laws of Malaysia and each party hereby submits to the exclusive jurisdiction of the Courts of Malaysia.

11. No delay by either party in exercising any right, power or remedy under this Agreement shall operate as a waiver or acquiescence thereof nor shall it restrict or affect the party’s right or powers under this Agreement. No waiver of any term or condition to this Agreement shall be effective unless made in writing.

12. Any amendments to this Agreement shall only be effective if agreed in writing and signed by both parties.

13. This Agreement shall be binding on the heirs, permitted assigns and successors in title of the parties hereto.


IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be executed the date and year first above written.
