I mean what hell is there to "prepare"? Surely they either fire a fax off with their suggested terms or hop on the fone? I wouldnt imagine a great deal of preparation goes into it unless its a complex arrangement.

they need to work out how they can get the money to pay and how they can structure the bid like how much now, how much later do they need to do share options and stuff to raise the funs, how does it affect budgets and other stuff its not as easy as FM.

As in everything football clubs do, there's plenty of legal mumbo-jumbo required when preparing a formal bid for a player. Not to mention rubbish like scheduling the payment (monthly fee? upfront?), haggle over both the price and performance-benefits (an extra million if you win the Prem after he joins, yadda yadda), scheduling a medical, covering your ass if he doesn't get a work-permit after the bid has been accepted, etc. etc.
